This Terms and Conditions of Use document (“T&C”) applies to all services and solutions owned by CROWBAR, INC. (hereinafter, “Panadata”). You, the user (the “User”), accept these T&C by using any of Panadata's services.
1. Data.
The information and/or links that reside in Panadata's databases and are displayed on the website are extracted directly from official public portals for each jurisdiction. Panadata does not alter or modify the information or links extracted from such official sources.
Panadata is not responsible for the content of the information and/or links that it merely retransmits from the official source. In case of errors in public data, the User must approach the public agencies responsible for the custody of such public data for proper correction.
Panadata does not publish private information or any information that would not be available to any other person without privileged access.
2. Registration.
In order to use Panadata's services and/or solutions, the User must register with Panadata through a username and password. Such access credentials must be kept exclusively by the User and should not be shared with third parties. The User may modify their profile or registration information at any time.
A User who does not maintain an active service with Panadata but does have a registration may request Panadata to delete it via email at soporte@panadata.net.
3. Eligibility.
- Be of legal age (18+). Parents and/or legal guardians of minors should not allow the use of Panadata's solutions;
- Have an email address that can be verified from time to time by Panadata;
- Immediately inform Panadata if you work for a competitor (e.g., any other data vendor);
- Authorization on behalf of an entity: If the User uses Panadata's solutions on behalf of an entity, the User must have sufficient authorization to bind said entity to Panadata, and by registering, the User confirms they have such authority; and
- Adhere to all provisions contained in these T&C.
4. Use.
The User may use Panadata's solution within the limits established for each service, such as the number of queries, API calls, among others. The User may not exceed the contracted limits. If there is an excess, Panadata reserves the right to bill the User the difference at the end of their billing cycle.
The use of Panadata's solutions for immoral and/or illegal purposes is strictly prohibited. Panadata reserves the right to terminate its commercial relationship with the User at any time, for any reason, and without prior notice, without prejudice to the right to take any legal action it deems appropriate against the User.
The User will remain bound by the T&C as long as their registration with Panadata persists and must comply with the provisions contained herein, as well as any modifications introduced by Panadata from time to time.
5. Documentation.
Panadata maintains a Help Center with relevant information on the use of Panadata's solutions available to the User. It is the User's responsibility to periodically review the Help Center to stay updated regarding service functionalities, available data, and other relevant information.
By using any of Panadata's solutions, the User agrees that they have read the corresponding service documentation.
6. Service Plans.
Service plans for Panadata's solutions may be one-time payments or subscriptions, depending on the solution contracted by the User.
In the event that the User acquires a service by annual or monthly subscription, such as a Panadata.net license, it will remain valid as long as the User does not cancel the subscription and keeps their payment method up to date. If the User's payment is not received at the time of renewal, the subscription will be automatically canceled.
7. Free Trials
It is Panadata's policy not to provide credits or free trial periods to the User.
8. Price.
Panadata reserves the right to modify its commercial offer from time to time, which may include variations in the cost of services. If there is any difference in cost, it will take effect from the next billing cycle of the service contracted by the User.
9. Payments.
The User must make payments to Panadata exclusively via credit card. Panadata reserves the right to agree with the User on a different payment method, according to the conditions of each business.
10. Billing.
Once the User has made a payment to Panadata, Panadata will send them a payment receipt in the form of an invoice via email. If the User does not receive it, they may contact soporte@panadata.net to request it.
11. Taxes.
If any payment from the User to Panadata generates any additional amount due to national or international taxes, tariffs, remittances, or any other cost not directly associated with the cost of the contracted service, it will be entirely assumed by the User.
12. Activation.
Panadata will activate the service or solution contracted by the User as soon as their payment has been settled and accepted by the payment processor.
Exceptions are cases where Panadata has agreed on another payment method with the User, in which Panadata may separately agree with the User on the time of activation.
13. Cancellation.
If the User has an active subscription with Panadata, the User may cancel it at any time. The cancellation will take effect on the last day prior to what would have been the User’s next billing period, and you will not receive additional charges from Panadata, except for the exceptions contemplated in these T&C.
The cancellation of the subscription or solution does not imply the loss of access to the service, as long as there are remaining credits or days for consumption. Accordingly, the User will have access to their services until their expiration date.
14. Refunds.
The User may request Panadata for a partial or full refund of the amount paid if any of the following conditions occur:
- The User canceled their subscription before the end of their billing cycle, and the amount was erroneously debited from their payment method.
- Duplicate payments.
- If due to a technical issue, the User cannot use their service despite having reported it and after being provided assistance by Panadata's support team.
- The payment made by the User exceeds the value of the contracted service.
Panadata will not process any refund to the User due to not finding the information they intended to find—unless it is a technical error reported by the User and attributable to Panadata.
The User assumes the responsibility to know the scope and limitations of public data according to the jurisdiction of their interest, given that Panadata will not display data that is simply not publicly available (e.g., copies of identity documents, shareholder information of a Panamanian corporation, among others).
The User's lack of use of the available and paid resources within the billing cycle will not be considered a cause for a refund, as long as Panadata has maintained the availability of the service to the User and consequently reserved their seat on the platform.
Neither will force majeure and/or fortuitous events, as defined in the Civil Code of the Republic of Panama, be considered as conditions for refunds.
15. Support.
The User can make any query, request, and/or complaint via email at soporte@panadata.net. Requests will be attended to by the Panadata team during working hours and according to their level of priority.
16. Communications.
Communications between the User and Panadata, and for all purposes of these T&C, will be exclusively via email, unless the User has contracted a service from Panadata that includes a level of priority attention and/or other communication mechanisms (SLA).
17. Privacy Policy.
- Ownership Statement. The company that owns the web domain “www.panadata.net” is CROWBAR, INC., a company organized and existing under the laws of the Republic of Panama, registered in the Mercantile Section of the Public Registry of Panama under Folio No. 155640453, RUC No. 155640453-2-2016 DV 38, with domicile at Avenida Gallard, Building #237, Local 237-D, Ciudad del Saber, Panama, Republic of Panama.
- Data Collection. Panadata will only use the personal information or platform usage by the User in the following cases: (i) Study and development of new products or services; (ii) Studies related to the use of the services with the purpose of making system improvements and enhancing the User's experience; (iii) Address and resolve User queries, implement improvements, or solve problems that the User may encounter when using the services; (iv) Administer the service platform and the security of its systems; (v) Prevent, investigate, and respond to cases of fraudulent use of the platform and its services, or any improper behavior or use of them; (vi) Attend legal requirements to comply with any law or regulation applicable to the services offered by Panadata in the Republic of Panama; and/or (vii) Any other use not contemplated in this Privacy Policy, with prior authorization from the User.
- Aggregated Data. Panadata may combine the User's information with information from other users and anonymize it in such a way that it is virtually impossible to identify the use or information of the User individually, or any other particular user (known as “aggregate data”) for investigative purposes, development of marketing campaigns, among others. Such information or data will not be subject to the terms and conditions of this Privacy Policy.
- Information Sharing. Panadata may, as a result of its normal business operations, share the User's information with service providers required for the operation of its commercial services, such as data storage and hosting providers, authentication and security services, among others. Panadata will not share individual User information, whether of a personal nature or platform usage, with third parties for commercial purposes, nor with other users.
- Privacy. Panadata only stores User information, their searches, interactions with Panadata's services, among others, with the exclusive and non-commercial purpose of identifying failures, making improvements to the platform, and generally enhancing the experience for the benefit of the User. Panadata will not disclose such information to third parties at any time.
18. Data Suppression.
The data contained in all of Panadata's solutions and/or services originate from publicly accessible sources and therefore do not require prior authorization for their processing.
Moreover, all solutions that Panadata commercially offers are primarily directed at the Compliance segment (AML/CFT) that allows users to comply with the different applicable regulations on the matter, for which it is essential to have complete and updated public data to enable Panadata's clients to comply with the law. Therefore, Panadata will automatically dismiss all requests for data suppression.
19. Intellectual Property.
Panadata owns all intellectual property rights of its website (www.panadata.net), as well as the elements contained therein, such as logos, texts, images, sounds, audios, videos, software, trademarks, and/or any other material, tangible or intangible, for correct operation, access, and use, among others.
The reproduction, distribution, storage (physical or digital), making available to third parties, commercialization, and/or any other act that violates Panadata's exclusive right to its intellectual property is expressly prohibited. Panadata reserves the right to take any legal action it deems appropriate.
20. Forward-Looking Statements.
From time to time, Panadata may send directly to the User, or display on its websites, information that may contain forward-looking statements. Such forward-looking statements reflect Panadata's expectations over time, which due to circumstances within or outside of Panadata’s control may not materialize within the planned timeframe, or in the way it was originally intended, or at the price point previously advertised. The User shall abstain from relying on such forward looking statements to make business decisions, as Panadata will not be liable for the non-performance or revision of such statements.
21. Non-Official Source
As mentioned in these T&C, Panadata is not the official source of the data supplied to the User. Therefore, the User must refrain from using the information, reports, documents, and/or any other elements produced by Panadata's solutions for judicial and/or legal processes of any kind. By using Panadata's services, the User accepts and acknowledges that they should be used as a reference and not as an official source.
Panadata does not offer legal services or advice to the User; therefore, communications between Panadata, its solution platforms, and the User will not be considered as such.
22. Affidavit.
By using any of the solutions and/or services offered by Panadata, the User represents and warrants that:
- They are not a Sanctioned Person.
- They will not provide access to Panadata's services and/or solutions to other Sanctioned Persons.
- They will not access Panadata's services and/or solutions from a country subject to international sanctions and/or embargoes.
- They will not employ or use any Sanctioned Person in any way in relation to these T&C.
- They will not use funds of illicit or immoral origin or misappropriated funds for the payment of Panadata's services and/or solutions.
Panadata reserves the right to unilaterally terminate any active relationship it maintains with the User if it is determined that they have breached these provisions, without this constituting a waiver by Panadata to take action against the User in accordance with the legal rights that assist Panadata by law and/or by reason of these T&C.
“Sanctions Lists” refers to:
- Specially Designated Nationals (OFAC) and/or any other sanctions list issued by the U.S. Department of the Treasury or any other authority of the United States of America;
- HM Treasury’s Consolidated List of Sanctions Targets (United Kingdom);
- Consolidated List of Persons, Groups, and Entities Subject to EU Financial Sanctions (European Union);
- BIS’s Entity List; and/or
- Any other national and/or international sanctions lists that apply.
“Sanctioned Person(s)” means any person (natural or legal) that is subject to sanctions or export controls imposed by the United States of America, United Kingdom, European Union, or any other applicable authority, including but not limited to any person who:
- Has been identified on any Sanctions List; or
- Owns 50% or more of a Sanctioned Person, directly or indirectly, individually or jointly, or is in any way controlled by any person identified in the previous point.
23. Governing Law
The provisions contained in this T&C document shall be governed by the laws of the Republic of Panama.
